CONSTITUTION<\/span><\/span> of the UNMC Faculty Club<\/strong> (amended September 25, 2025)<\/p>\n\n\n\n

Article I<\/span><\/span><\/p>\n\n\n\n

The name of the association shall be “The Faculty Club of the University of Nebraska Medical Center”.<\/p>\n\n\n\n

Article II<\/span><\/span><\/p>\n\n\n\n

The object of the Club shall be to promote good fellowship among its members; to cooperate <\/span><\/span>with and<\/span><\/span> encourage student body activities; to foster social life in the University of Nebraska Medical Center and to have constantly in mind, and to work zealously for, the advancement of the Medical Center.<\/span><\/span><\/p>\n\n\n\n

Article III<\/span><\/span><\/p>\n\n\n\n

Membership in the Club shall be open to those who hold Academic or Executive Administrative (M1\/N1) Appointments at the University of Nebraska Medical Center or whose spouses\/partners hold such appointments.  Volunteer and courtesy faculty and their spouses\/partners are included. Spouses\/partners of the Regents of the University of Nebraska shall be honorary members.  All who have been members of the Club at any time may continue their membership.<\/span><\/span><\/p>\n\n\n\n

Article IV<\/span><\/span><\/p>\n\n\n\n

Section 1.  <\/span><\/span>The officers of this Club shall be a president, a president-elect, a secretary, a treasurer and a Director of Marketing.<\/span><\/span><\/p>\n\n\n\n

Section 2. <\/span><\/span>Nominations for office shall be made by a nominating committee appointed by the president.<\/span><\/span><\/p>\n\n\n\n

Section 3.  <\/span><\/span>The annual election of officers shall be held at a general meeting in May.  Officers shall assume the duties of their respective positions at the close of the May meeting.<\/span><\/span><\/p>\n\n\n\n

Section 4.  <\/span><\/span>The fiscal year shall run from 6\/1 to 5\/31.<\/span><\/span><\/p>\n\n\n\n

Section 5. <\/span><\/span>The term of office shall be for one year.<\/span><\/span><\/p>\n\n\n\n

Section 6.<\/span><\/span>  Any office becoming vacant during the year shall be filled by the Executive Committee; the appointee shall hold office until the next annual election.<\/span><\/span><\/p>\n\n\n\n

Article V<\/span><\/span><\/p>\n\n\n\n

Section 1.  <\/span><\/span>The Executive Committee shall consist of the elected officers of the Club.<\/span><\/span><\/p>\n\n\n\n

Section 2.  <\/span><\/span>The Board shall consist of the Executive Committee, the chairperson of the committees and the immediate past president.  Advisor(s) may be appointed to the board by the president with the approval of the Executive Committee.<\/span><\/span><\/p>\n\n\n\n

Article VI<\/span><\/span><\/p>\n\n\n\n

The articles of the Constitution may be amended at any regular meeting, at which a quorum is present, by a two-thirds vote, provided the amendment has been presented previously to the membership<\/span><\/span><\/p>\n\n\n\n

BY-LAWS of the UNMC Faculty Club<\/strong><\/span><\/span><\/p>\n\n\n\n

Section 1.<\/span><\/span>  <\/span><\/span>The regular meetings of the Club shall be held on the fourth Wednesday with exceptions to be made by the Executive Committee<\/span><\/span>.<\/span><\/span><\/p>\n\n\n\n

Section 2.<\/span><\/span>  <\/span><\/span>There are t<\/span><\/span>wo <\/span><\/span>categories of membership: <\/span><\/span>(1) f<\/span><\/span>ull Membership and <\/span><\/span>(2) m<\/span><\/span>embership with <\/span><\/span>p<\/span><\/span>repaid <\/span><\/span>l<\/span><\/span>uncheons<\/span><\/span>.  <\/span><\/span>The annual dues for each member of the Club shall be payable to the Treasurer on or before August 1 for the following year.<\/span><\/span><\/p>\n\n\n\n

Section 3.<\/span><\/span> Presidential duties<\/span><\/span><\/p>\n\n\n\n

a. It shall be the duty of the president to preside at all meetings of the Club and to perform such other duties as regularly come within the scope of this office.  The president shall select chairpersons of the committees.<\/span><\/span> <\/p>\n\n\n\n

b. The president shall call a meeting of the Board at least twice during the year.<\/span><\/span><\/p>\n\n\n\n

c. The president shall be an ex-officio member of all the committees<\/span><\/span>.<\/span><\/span><\/p>\n\n\n\n

Section 4.<\/span><\/span>  <\/span><\/span>It shall be the duty of the president-elect to learn the duties of the office of the president.  <\/span><\/span>The <\/span><\/span>president-elect <\/span><\/span>shall assist the president and assume the duties <\/span><\/span>if<\/span><\/span> the president <\/span><\/span>is absent<\/span><\/span>\/unable.<\/span><\/span><\/p>\n\n\n\n

Section 5.<\/span><\/span>  <\/span><\/span>The secretary shall attend to all correspondence of the Club except such as are specifically assigned to others. It shall be the duty of the secretary to record the minutes of the meetings of the Club and of the Executive Committee and the Board.  <\/span><\/span>The secretary <\/span><\/span>shall be the custodian of the records, except such as are specifically assigned to others.<\/span><\/span><\/p>\n\n\n\n

Section 6. The Director of Marketing will work to raise campus awareness of the Club’s mission and activities through the UNMC Faculty Club Blog, UNMC Faculty Club Facebook account and through “UNMC Today” online releases.<\/span><\/span><\/p>\n\n\n\n

Section <\/span><\/span>7<\/span><\/span>.  <\/span><\/span>It shall be the duty of the treasurer to collect dues, pay all accredited bills, and keep a record of receipts and disbursements.  The treasurer shall make one complete annual report and be prepared to make a financial report at any time.  The treasurer shall be audited annually by a committee appointed by the president.<\/span><\/span><\/p>\n\n\n\n

Section <\/span><\/span>8<\/span><\/span>.<\/span><\/span>  It shall be the duty of the past president to act in an advisory capacity to the president.<\/span><\/span><\/p>\n\n\n\n

Section <\/span><\/span>9<\/span><\/span>.<\/span><\/span>  All committees shall be appointed by the president.<\/span><\/span><\/p>\n\n\n\n

Section <\/span><\/span>10<\/span><\/span>.<\/span><\/span>  <\/span><\/span>Fifteen percent of the Active Level I members of this club shall constitute a quorum.<\/span><\/span><\/p>\n\n\n\n

Section <\/span><\/span>11<\/span><\/span>.<\/span><\/span>  <\/span><\/span>These by-laws may be amended by a two-thirds vote of the members present at any regular or called meeting of the Club.<\/span><\/span><\/p>\n\n\n\n

S<\/span><\/span>ection 1<\/span><\/span>2<\/span><\/span>.<\/span><\/span>  <\/span><\/span>The rules contained in Robert\u2019s Rules of Order Newly Revised shall govern this Club in all cases to which they are applicable and in which they are not inconsistent with these by-laws<\/span><\/span>.<\/span><\/span><\/p>\n\n\n\n
